These Terms and Conditions (the “Terms”) contains important information about your legal rights, remedies, and obligations between you (“you” or “User”) and JOIST Single Member SA (“JOIST”, “us”, or the “we”), for your use of JOIST Marketplace and its Services & Solutions.
Please read all our terms carefully because you are promising not to break any agreements in the Terms of Service. In case, you have any questions, please contact our management team atcommunity@joistpark.eu.
Users:
In JOIST Marketplace the User is an Individual - a Solution Provider (Provider) or an Innovation Seeker (Buyer)- or a representative of a company/organization. Please check chapter 3 for more information.
Services:
Providers can publish through JOIST Marketplace their Services or Products, in order to provide them to potential clients (Buyers)
Innovation Challenges:
These refer to challenges that Buyers have and they are looking for specific solution. The Buyers can contact the JOIST Marketplace team and have their challenges be uploaded into the JOIST Marketplace platform in this page:https://marketplace.joistpark.eu/challenges.
Order and Assigned Order:
The Buyer, after searching for a service, will be able to make an order for a Service/Solution. Each Service/Solution belongs to a Provider, and its order is assigned to the respective Provider to inform you about the order and to start all the activities that will have to take place for the implementation of the Service/Solution.
Commission Fee:
A retention amount of 12% will be automatically deducted from the Providers’ payment by JOIST Single Member SA, as consideration for the provision of their services by JOIST Marketplace. Commission withholding to customers is 0%.
Payments:
The payments will take place through the payment methods that Users defined through their profile. Please check chapter 7.
We, JOIST Single Member SA, or otherwise mentioned in this document JOIST SA, aim to provide a marketplace, which will operate digitally and will motivate and support its Users to sell their solutions (products/services). The JOIST Marketplace scheme will operate digitally, via its dedicated platform and website.
JOIST shall also be known in these Terms as “we”, “our”, “us” or “JOIST Single Member SA”. References to “Management” in these Terms refer to the personnel that manages the memberships of JOIST Single Member S from time to time.
The Users are separated into two entities. TheProviders shall also be known in these Terms as“Suppliers,” “Ventors”, who will offer their services & solutions through JOIST Marketplace and theBuyers shall also be known in these Terms as“Clients”that will be able to purchase a service or solution that a Provider/Supplier offers. If you are entering these Terms on behalf of an entity, you represent and warrant that you have all necessary right, authority and consent to bind such entity to these Terms
References to “Services” in these Terms refer to your access and use of our digital platform and purchasing a specific service through the online marketplace and website. The digital services offered through the online marketplace and website are available for publishing or purchasing after your registration to JOIST Marketplace.
The Services, that JOIST Marketplace provides, refer to specific services that different Providers/Suppliers offer through our platform. Through these Services, Buyers will be able to purchase specific services, depending on the Buyer’s needs during this period.
Moreover, through JOIST Marketplace, the potential Buyer can publish specific Requirements, shall also be known in these Terms as “Innovation Challenge” as it was described above. An Innovation Challenge will include, specific information, in order Providers to contact JOIST Marketplace in order to make their offers based on the requirements.
The availability and scope of the Services, as well as the availability and scope of the services that we offer are subject to change from time to time at our sole discretion. We may also make modifications, deletions or additions to these Terms and will provide you with notice of changes to these Terms or Services that apply to you, by emailing the last email address provided by you or by posting or sharing on the JOIST Marketplace platform. Most changes will be effective immediately upon notice, except the fee changes will be effective upon commencement of your next purchase. (Please check the chapter 7 about the Payments and Cancelations).
Please note that JOIST Single Member SA provides direct access to other websites and/or platforms, the content of which it cannot intervene and therefore, of course, bears no responsibility whatsoever, nor does it provide any guarantee whatsoever for their content. Furthermore, JOIST Single Member SA is not responsible for the accuracy and correctness of the information transmitted above as this is information found on other websites, and which is collected by the Providers.
JOIST Single Member SA recommends to the users of JOIST Marketplace to consult the corresponding page of the Services in order to verify the accuracy of the received information of that specific Service and to be informed more extensively about the characteristics of the product of their choice.
The Digital Services are available to Members (as defined above) who are over the age of eighteen (18) unless the Management specify otherwise. Kindly be certain you qualify. You agree to provide us with accurate and complete information about yourself when you register with us as a User (Provider or Buyer) and as you use the Digital Services.
Each User will have access to JOIST Marketplace, after registration. At the registration stage, users will be able to choose their role (Provider or Buyer) and in this way the User will have access to specific features depending on the role that they have chosen.
Subject to these Terms and Conditions, JOIST Single Member SA grants to its Users and its authorized users a non-exclusive, non-transferable right to access the JOIST Single Member SA Service set forth in the applicable forms for the number of authorized users. JOIST Single Member SA shall provide to Members and its authorized users the necessary passwords, access and security policies and protocols to allow them to access its platform and services. The Members and authorized users’ access is limited to its software only and shall have no access to JOIST Single Member SA hardware, unless otherwise authorized by JOIST Single Member SA in writing.
The Users and authorized users retain all right, title and interest in and to Members Data. Subject to the foregoing, Members hereby grants to JOIST Single Member SA a non-exclusive, non-transferable right and license to use the Members Data during the Term for the limited purposes of performing JOIST Single Member SA obligations under these Terms and Conditions and to use the Members Data in combination with other Members’ data to create anonymous aggregated statistics and associated insights
Subject to the rights granted in these Terms and Conditions, JOIST Single Member SA retains all rights, title, and interest in and to its platform and services, and Members and authorized users acknowledge that they neither own nor acquire any additional rights or licenses in and to the foregoing not expressly granted by these Terms and Conditions. Members and authorized users further acknowledge that JOIST Single Member SA retains the right to use the foregoing for any purpose in its sole discretion.
By signing up to JOIST Marketplace platform you agree to the following nonrecurring fees associated with the services/solutions you are purchasing, as displayed to you at the time you sign up for the relevant Services, or as updated by us from time to time upon notice to you.
The Buyer will be able to purchase a Service, after the registration into the JOIST Marketplace. The provided Services are priced based on the type of Service and the method of implementation, with a fixed cost.
The Buyer is informed of the total charge for the specific service through the JOIST Marketplace and can decide on purchasing a service by knowing the charge that will be incurred. Additionally, if the Buyer for a specific service does not meet all their requirements, they can contact the Provider in order to create a customized package tailored to the Buyer’s needs, along with the corresponding cost. All prices listed on the JOIST Marketplace include taxes.
For the purchase of a service, the Buyer can pay through a Digital Wallet (Wallet) system, where the Buyer can add a certain amount (TopUp) to use it in subsequent purchases as desired. The specific amount is committed up to the deadline that will be set by the Provider in agreement with the Buyer.
The procedure for the payments inside the JOIST Marketplace platform will occur as follows:
By clicking to buy a service, the Buyer directly pays the amount, through the TopUp procedure (as it was described above), which will be credited to the JOIST Marketplace. This amount will be shown to the Providers as reserved funds.
Once the service is implemented, for the amount to be transferred to the Provider, the Provider must change the status of the service by changing it to “Complete”, then the Buyer must provide Feedback for the service and the Provider. Then, the Provider will be able to transfer (withdraw) their money to their designated bank account.
In case an Innovation Seeker (Buyer) places an order for a specific service, will have 24 hours to cancel it by contacting the community@joistpark.eu. After 24 hours the order is considered in progress, and we will procced with all the needed actions, after the Solution Provider accepts the order.
If the Innovation Seeker (Buyer) places an order, the Solution Provider has every right to cancel the order, and the implementation will not start. Once the Solution Provider accepts the order, then the implementation will begin based on the deadline agreed upon between the Solution Provider and the Innovation Seeker (Buyer).
Any disagreements that arise between a Provider and a Buyer during the execution and completion of an assigned order, through JOIST Marketplace, can lead to a dispute.
When a dispute arises between a Buyer and a Provider, in the context of an order, it is first suggested that the Users try to resolve it, after a discussion through the Chat Conversation, with a mutual agreement.
If the Buyer is not satisfied with the service provided or believes there has been fraudulent activity, they may request a full or partial refund by submitting a request to the Problem-Solving Department. With this request, the JOIST’s team opens a case for the dispute on the specific order. The final decision on the completion of a case is determined exclusively by the competent JOIST’s Problem- Solving Representatives with the sole purpose of honest and fair management of the problem in cooperation with the Buyer – Provider after a thorough fact-finding investigation regarding the specific order and decides to grant or deny the Buyer’s refund request. To investigate a dispute effectively, JOIST’s Representative reserves the right to request users to provide evidence or other documents before or during the investigation.
The refund policy that we as JOIST Marketplace follow is described below:
The Provider`s non-response to the Buyer`s messages, for a reasonable period, which puts at immediate risk the successful completion of the order within the deadline during the cooperation and up to seven (7) days after the final delivery.
The non-time processing of the order, in the absence of mutual agreement between the Buyer and the Provider, except in those cases where the delay is not attributable to the fault of the Provider.
The Provider’s intention is to defraud the Buyer, in any way, in particular by delivering wrong, non-authentic material, as mutually agreed upon by the Buyer and the Provider, in the context of a specific order.
The delivery of work or part of it, which does not meet the requirements of the order.
The use of the Services is subject to the payment of any applicable fees and compliance with the Terms and all management rules that apply from time to time (“Management Rules”). We reserve the right to terminate any Services provision at any time.
JOIST Marketplace welcomes Services from the Providers. JOIST Single Member SA (through JOIST Marketplace) will not be liable for any loss or damage incurred because of the exchange of service between you and any other user of the JOIST Marketplace. All matters, including but not limited to exchange of services are solely and strictly between you and the vendor of the service.
The offered Services & Solutions are submitted in a moderated online section, and we reserve the right to reject benefits that:
- Are offensive or obscene
- Contain objectionable or profane language - including use of symbols
- Include insults, harassment, personal attacks of any kind of abusing content
- Contain spam or include links to other unsafe and illegal websites
- Include lies, misinformation or attempts to mislead
Our team of experts review all Services for accuracy and reserve the right to reject Services we consider, on the balance of probabilities, to be deliberate falsehoods, spam or fraudulent, lawbreaking, defamatory of any person, threatening or invasive of another`s privacy, illegal, threatening or just generally are not appropriate.
If a User insists that a service from another Provider is offensive or includes lies, misinformation or attempts to mislead, we reserve the right to delete it. We may remove your services from use at any time.
We retain the right and discretion to deactivate your account if we believe you are abusing the services in any way or have breached these Terms and Conditions. Users who repeatedly or egregiously breach our Terms and Conditions or share not appropriate perks may find their account has been permanently blocked.
JOIST Marketplace welcomes Innovation Challenges from potential Buyers. JOIST Single Member SA (through JOIST Marketplace) will not be liable for any loss or damage incurred because of the exchange of service between you and any other user of the JOIST Marketplace. All matters, including but not limited to exchange of services are solely and strictly between you and the vendor of the service.
The Innovation Challenges are submitted through an online form, where we examine the information, which are provided to us, and we reserve the right to reject benefits that:
- Are offensive or obscene
- Contain objectionable or profane language - including use of symbols
- Include insults, harassment, personal attacks of any kind of abusing content
- Contain spam or include links to other unsafe and illegal websites
- Include lies, misinformation or attempts to mislead
Our team of experts review all Innovation Challenges for accuracy and reserve the right to reject Challenges we consider, on the balance of probabilities, to be deliberate falsehoods, spam or fraudulent, lawbreaking, defamatory of any person, threatening or invasive of another`s privacy, illegal, threatening or just generally are not appropriate.
If a User insists that an innovation challenge from a specific Buyer, is offensive or includes lies, misinformation or attempts to mislead, we reserve the right to delete it. We may remove your services from use at any time.
Users who repeatedly or egregiously breach our Terms and Conditions or share not appropriate perks may find their account has been permanently blocked.
We expect that you will not perform any activity that is likely to be offensive, disruptive, damaging, or dangerous to us, our employees, other users, any Guests or any other third parties or any property of any of the former. Any unreasonable behavior may result in the Management asking you to end the use of our services and may result in the revocation of your Membership. You will not use our Services for any purpose that is unlawful or prohibited by this agreement. You may not use our Services in any manner that could damage, disable, overburden, or impair any of our other users. You may not attempt to gain unauthorized access to any accounts, computer systems or networks connected to any JOIST server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Premises.
It is clarified that the services provided through JOIST Marketplace from Providers to the Buyers involve a significant technological, organizational and other business cost for JOIST Single Member SA. However, JOIST Single Member SA has chosen for this cost not to be borne by the Buyers but the Providers, through a specific commission fee. The correct and accurate calculation of the above commission is a necessary financial element of the use of the Providers services by the Buyers, in the context of the contractual relationship created through JOIST Marketplace from the use of these services, in accordance with the present terms and conditions.
From time to time, we may have to publish testimonials by users (Providers and Buyers) related to their experiences with the Services. These testimonials are the users’ subjective opinions, and they represent individual results. We neither verify them nor claim that they are typical results that others will achieve. Names, locations, dates, and other information may have been changed to protect the privacy of the individuals involved. All other testimonials and endorsements of any type, format or nature posted by users are not verified by us, and we make no warranty or representation as to their accuracy. You should be cautious when relying on any testimonials or endorsements, and you should assume the results described therein are not typical.
You may not take, copy, duplicate, or use for any purpose the name JOIST Innovation Park or any of our other business names, trademarks, service marks, logos, trade dress, other identifiers or other intellectual property or modified or altered versions of the same, or take, copy, or use for any purpose any pictures, images, animations, or illustrations of any portion of any JOIST Single Member SA properties, without our prior consent.
We comply with the Regulation (EU) 2016/679 on the protection of natural persons regarding the processing of personal data and on the free movement of such data (GDPR), entered into force in 25/5/2018/ n. 4624/2019 of Greek Law, entered into force on 29/8/2019. We will deal with all the information we hold about you in line with our privacy policy which you can get from our website at www.joistpark.eu. If you want to know what information we hold about you, or you want us to correct any information we hold about you, the appropriate procedures are set out in our privacy policy.
If you have privacy concerns, have disclosed data you would prefer to keep private, or would like to access the Personal Information that JOIST Marketplace maintains about you, please contact us at dpo@joistpark.eu or by postal mail: JOIST Single Member SA, Valtetsiou & Tripoleos, Larissa 41336, GREECE. If your request involves a Member, JOIST Marketplace will notify the appropriate Member of your request.
Actions brought by the data subject against the controller or processor for breach of the data protection provisions within the scope of the GDPR or of the data subject`s rights contained therein shall be brought before the civil court in the district in which the controller or processor is established. The actions referred to in the preceding subparagraph may also be brought before the civil court in whose district the data subject has his or her habitual residence.
By signing up for membership and ticking the box to say that you have read these terms, you agree to abide by them.
JOIST Single Member SA is entitled to amend these Terms and Conditions except for the essential contractual obligations for important reasons, with effect for the future. An important reason can be a change of legal regulation or case law, a need to clarify the interpretation of the rules in case of doubt, or a change of the market circumstances affecting the services of the JOIST Single Member SA
Amendments to these Terms and Conditions shall be notified to Users by email no later than one month before the date on which they are scheduled to take effect, together with a notice stating that the amendments will take effect in the absence of an objection from the User. Such a change or amendment may be objected to in text form, e.g., in writing or by email, within a period of one month from receipt of the notice of change.
In addition, JOIST Single Member SA is entitled to adjust the applicable Fees at least once per quarter to changing market conditions, significant changes in procurement costs, changes in sales tax, purchase prices, or other comparable changing circumstances. In these cases, Users will be informed in text form.
